The Corporate Transparency Act (CTA), enacted in 2020, introduced significant changes to US anti-money laundering regulations. As part of the CTA, the Beneficial Ownership Information Report (BOIR) plays a vital role in increasing transparency and combatting financial crime. This report sheds light on the true owners and individuals with significant control over businesses, helping to thwart illicit activities and strengthen financial security.

What is BOIR?

A BOIR is a report filed electronically with the Financial Crimes Enforcement Network (FinCEN), detailing the ultimate beneficial owners (UBOs) of certain types of businesses covered under the CTA. UBOs are individuals who ultimately own or control more than 25% of the ownership interests of a business, or individuals who exercise significant control over a business even if they own less than 25%.

The resale certificate is issued by the state where the business operates and is an important document for businesses engaged in buying and selling goods.
